Delicious Rewards Terms of Use

PLEASE READ THESE TERMS CAREFULLY. BY REGISTERING FOR, ACCESSING, OR PARTICIPATING IN THE DELICIOUS REWARDS PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS OF USE, INCLUDING WITHOUT LIMITATION, THE ARBITRATION AGREEMENT AND CLASS ACTION WAIVER INCLUDED BELOW, AND ANY ADDITIONAL TERMS INCORPORATED HEREIN BY REFERENCE. PLEASE READ THESE TERMS CAREFULLY. THESE TERMS INCLUDE A WAIVER OF YOUR RIGHT TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION AND REQUIRE THAT ANY DISPUTES BETWEEN YOU AND CULVER’S BE RESOLVED BY BINDING ARBITRATION. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT PARTICIPATE IN THE DELICIOUS REWARDS PROGRAM.

NOTE THAT ALL CLAIMS AND DISPUTES ARISING UNDER THESE TERMS MUST BE LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE USER CANNOT BE LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER USER.

Program Overview

Delicious Rewards (the “Program”) is a customer loyalty program offered by Culver Franchising System, LLC (“Culver’s,” “we,” “us,” or “our”) at participating Culver’s® restaurants in the United States (specifically, Alabama, Arizona, Arkansas, Colorado, Florida, Georgia, Idaho, Illinois, Indiana, Iowa, Kansas, Kentucky, Michigan, Minnesota, Missouri, Nebraska, North Carolina, North Dakota, Ohio, South Carolina, South Dakota, Tennessee, Texas, Utah, Wisconsin, and Wyoming). The Program allows enrolled members (“Members”) to earn and redeem loyalty points (“Points”) for rewards, offers, and other member benefits at participating locations.

Eligibility and Enrollment

  • Participation in the Program is limited to individuals residing in the United States who have a valid account as described below. You must be at least 13 years of age to participate in the Program.
  • To participate in the Program and earn points and redeem rewards, you must enroll and become a member of the Program (“Member”).
  • To become a Member, you will need a valid account. You can sign up for an account by following the prompts on the Culver's® App or at www.culvers.com. You may also be able to join through special promotions or events offered by Culver’s from time to time.
  • Upon sign-up, you will be required to provide certain information, including but not limited to your phone number, name, and email address. You agree to provide true and accurate information and to ensure that your information is up-to-date.
  • Only individuals are eligible to participate in the Program. Corporations, groups, and other entities are not eligible.
  • There is no fee associated with joining the Program. Participation is personal and non-transferable. You may have only one Delicious Rewards account.

Program Description and Earning Points

  • The Program is a customer loyalty program that allows Members to earn loyalty points (“Points”) that can be redeemed for rewards.
  • Members will earn 10 Points for every $1 spent on qualifying purchases at participating Culver’s restaurants when their Member ID is scanned, a phone number is provided at the restaurant or when they are signed into their valid Member account on the Culver’s app or website.
  • Culver’s may offer opportunities to earn additional Points on select menu items and/or by participating in select events during promotional periods. These are at the complete discretion of Culver’s and may include additional conditions specific to each promotion.
  • Points are automatically tracked at the time of a qualifying purchase or activity. It may take up to twenty-four (24) hours or more for Points to be credited to your account.
  • Qualifying purchases generally include most food and beverage purchases made at participating Culver’s restaurants. Culver’s reserves the right to determine what constitutes a qualifying purchase and may exclude certain items, such as gift card purchases, taxes, and fees, which will be clearly marked.
  • Purchases made as a guest (i.e., without being signed into your Member account) may not be eligible for Points.
  • Orders placed through third-party food delivery platforms may not be considered qualifying purchases and may not earn Points.
  • Points have no cash value, are purely promotional, and do not constitute your property.
  • Points earned in the Program may expire. Culver’s reserves the right to establish and modify Point expiration policies, which will be communicated to Members.

Redeeming Points for Rewards

  • Members can redeem their accumulated Points for free menu items or other rewards based on a “Points Redemption Table”. The current point tiers and their approximate values (e.g., 500 points = ~$2-4 value) will be available within the Program’s interface.
  • The Points Redemption Table may vary over time and is subject to change at Culver’s discretion. Any such changes will be shown on the Points Redemption Table. Transactions with rewards applied may still be subject to sales tax depending on the restaurant’s local rules and regulations.
  • Points can be redeemed for Rewards through the Culver’s App or website while logged into your Member account. Rewards may not be redeemable through third-party platforms.
  • Rewards are subject to availability at participating Culver’s restaurants.
  • Rewards provided to Members will have set terms and may expire in accordance with the terms stated for that Reward.
  • Once Points have been redeemed for a Reward, the Points are deducted from your account, and there are no refunds, returns, or exchanges.

Digital Coupons and Offers

  • The Program may offer digital coupons to Members. These coupons can be scannable at the point-of-sale (POS) system in participating restaurants.
  • Coupons may be single-use or multi-use and may have user-level restrictions.
  • Coupons can be defined at the system level and at individual restaurant levels and may have time limitations, such as specific hours, days of the week, or date ranges.
  • Members may have the ability to gift/transfer coupons obtained through point redemptions to another person via email or SMS, without requiring the recipient to be a Member.
  • Members may receive birthday and half-birthday treats in the form of coupons. These may be limited to a certain number per Member and any entered family members annually.
  • Culver’s may offer surprise offers in the form of menu item coupons to Members, triggered based on business performance needs and available system-wide.
  • Members may receive exclusive access to happy hour deals in the form of menu item coupons, available system-wide during off-peak times.
  • The number, type, and frequency of coupons and offers are at Culver’s sole discretion and are subject to change without notice. Coupons and offers are promotional, have no cash value, and do not constitute your property.

Member Account Management

  • Members can manage their profile information, including making edits and requesting account deletion, through the Culver’s App or website.
  • Culver’s may provide a process for merging preexisting MyCulver’s accounts with the new Delicious Rewards Program, transferring current information to the new member profile and securely establishing identity.
  • You are responsible for maintaining the confidentiality of your login information and for all activity that occurs under your account. You agree to notify Culver’s immediately of any unauthorized use of your account.

Participating Restaurants

  • The Delicious Rewards Program is available at participating Culver’s restaurants in the United States (Alabama, Arizona, Arkansas, Colorado, Florida, Georgia, Idaho, Illinois, Indiana, Iowa, Kansas, Kentucky, Michigan, Minnesota, Missouri, Nebraska, North Carolina, North Dakota, Ohio, South Carolina, South Dakota, Tennessee, Texas, Utah, Wisconsin, and Wyoming).
  • The ability to earn Points and redeem Rewards may vary by restaurant. Please check with your local Culver’s to confirm their participation.
  • Culver’s franchisees own and operate their restaurants independently. While Culver’s administers the Program, franchisees are responsible for the redemption of Rewards at their locations.

Program Modification and Termination

  • Culver’s reserves the right to change, modify, or terminate the Program, or any part of it, including, but not limited to, the number of Points earned, the Point redemption values, the Rewards offered, and these Terms, at any time, with or without notice.
  • Notice of material changes or termination may be provided by posting the updated Terms on the Culver’s website or through other reasonable means. Your continued participation in the Program after such changes constitutes your acceptance of the revised Terms.
  • In the event of Program termination, Culver’s may, at its discretion, allow Members to redeem outstanding valid Points or Rewards for a limited time. Any unredeemed Points or Rewards may be cancelled upon termination.
  • Culver’s reserves the right to suspend or terminate your membership in the Program, cancel any accumulated Points and Rewards, and bar you from future participation if you violate these Terms or engage in any fraudulent or abusive activity related to the Program.

User Conduct

  • By participating in the Program, you agree to remain courteous and respectful toward Culver’s employees, franchisees, and other Members.
  • You agree not to engage in any fraudulent activity or abuse in connection with the Program, including attempting to redeem single-use offers multiple times.

Dispute Resolution – Arbitration Agreement and Class Action Waiver

  • You agree that any past, present, or future claim, controversy or dispute (whether in contract, tort, or otherwise) you may have at law or in equity against Culver’s, its parent, subsidiary or affiliated entities, or any of their respective officers, directors, employees or agents (all such individuals and entities collectively referred to herein as the “Delicious Rewards Entities”) arising in whole or in part out of or relating in any way to Delicious Rewards, the text messaging program, points or any Reward, transactions that result in the earning or redemption of Delicious Rewards points, your participation in any Delicious Rewards program, these Delicious Rewards Terms or the scope or applicability of this agreement to arbitrate (each, a “Delicious Rewards Dispute”) will be resolved in accordance with the provisions set forth in this section.
  • Please read this section carefully. It affects your rights and will have a substantial impact on how Delicious Rewards Disputes are resolved. You agree that whenever you have a Delicious Rewards Dispute, you will send a written notice to Culver’s (“Demand”). You agree that the requirements of this paragraph will apply even to disputes that may have arisen before you accepted these Delicious Rewards Terms. You must send the Demand to the following address (the “Notice Address”): Delicious Rewards Legal Disputes, 1240 Water Street, Prairie du Sac, WI 53578. You agree that you will not take any legal action, including filing a lawsuit or demanding arbitration, until 10 business days after you send a Demand. If the disagreement stated in the Demand is not resolved to your satisfaction within such 10 business days, the Delicious Rewards Dispute (1) will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (the “Arbitrator”) and conducted before a sole arbitrator in accordance with the AAA Consumer-Related Disputes Supplementary Procedure effective September 15, 2005 (as may be amended) and as modified by the agreement to arbitrate in this paragraph; (2) this arbitration agreement is made pursuant to a transaction involving interstate commerce, and shall be governed by the Federal Arbitration Act (“FAA”), 9 U.S.C. §§ 1-16 and the FAA applies in all cases, governs the interpretation and enforcement of the arbitration rules and arbitration proceedings and, to the maximum extent under applicable law, shall preempt application of state laws regarding arbitration, including without limitation, provisions of the California Arbitration Act governing the payment, or shifting, of fees or costs of arbitration and the availability of discovery.; (3) the arbitration shall be held in Madison, Wisconsin; (4) the arbitrator’s decision shall be controlled by these Delicious Rewards Terms and any of the other agreements referenced herein that the applicable user may have entered into; (5) the arbitrator shall apply Delaware law, without regard to its choice of law or conflict of law rules or principles that would result in applying the law of any other jurisdiction, consistent with the FAA and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (6) there shall be no authority for any claims to be arbitrated on a class or representative basis; arbitration can decide only your and/or the applicable Delicious Rewards Entity’s individual claims; the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (7) the arbitrator shall not have the power to award punitive damages against you or any Delicious Rewards Entity; (8)  if you are able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Culver’s or its designee will pay as much of your filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (9) with the exception of subpart (6) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the rules of AAA, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, subpart (6) is found to be invalid, unenforceable or illegal, then the entirety of this Arbitration Provision shall be null and void, and neither you nor the affected Delicious Rewards Entity shall be required to arbitrate their dispute. If, for any reason, the American Arbitration Association is unable or unwilling to conduct the arbitration, you may file your case with any national arbitration company that will honor the requirements set forth above.

LIMITATIONS ON LIABILITY/INCONTESTABILITY

  • UNDER NO CIRCUMSTANCES SHALL THE CULVER’S ENTITIES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE DELICIOUS REWARDS PROGRAM, EVEN IF ANY OR ALL OF THE CULVER’S ENTITIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THEREFORE SUCH EXCLUSIONS MAY NOT APPLY TO YOU. IF A DELICIOUS REWARDS PARTICIPANT PROVES THAT CULVER’S HAS IMPROPERLY DENIED SUCH PARTICIPANT ANY REWARD, THEN THE PARTICIPANT’S SOLE AND EXCLUSIVE REMEDY UNDER SUCH CIRCUMSTANCES WILL BE TO RECEIVE THE EQUIVALENT REWARD. PARTICIPANTS IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.
  • BY PARTICIPATING IN THE DELICIOUS REWARDS PROGRAM, EACH DELICIOUS REWARDS PARTICIPANT AGREES THAT ANY LEGAL, EQUITABLE OR OTHER CLAIM OR CAUSE OF ACTION ARISING IN WHOLE OR IN PART OUT OF OR OTHERWISE RELATED TO THE DELICIOUS REWARDS PROGRAM MUST BE SERVED AND FILED WITHIN ONE (1) YEAR AFTER THE FIRST OCCURRENCE OF THE ACT, EVENT, CONDITION OR OMISSION UPON WHICH THE CLAIM OR ACTION IS BASED.  EACH PARTICIPANT ACKNOWLEDGES AND AGREES THAT THIS ONE (1) YEAR CONTRACTUAL LIMITATIONS PERIOD IS NOT SUBJECT TO TOLLING AND MAY BE SHORTER THAN THE DEFAULT STATUTE OF LIMITATIONS THAT WOULD OTHERWISE APPLY.  AFTER SUCH ONE (1) YEAR PERIOD, THE AFFECTED CLAIM OR CAUSE OF ACTION WILL BE DEEMED WAIVED, AND THE ACT, EVENT, CONDITION OR OMISSION UPON WHICH THE AFFECTED CLAIM OR ACTION IS BASED SHALL BE DEEMED INCONTESTABLE.
